The Sale Process

Initial Meeting

Post-Engagement Meeting

Following the engagement of Hardline Advisors, we will provide actionable methods to maximize the value and saleability of your business, and steps required to prepare the business for sale.

Develop a Strategic Marketing Plan and Documents

Our marketing strategy will encompass a targeted outreach campaign, online marketing, and engaging buyers on our confidential buyers list. Our Marketing documentation will be comprised of a one-page brief/anonymous description of the key aspects of the business and the opportunity - being careful to not include any details as to give away the identity of your business, and to develop a Confidential Information Memorandum (CIM). The CIM will be a Comprehensive Business Overview Package that will include company history, financials, operations, market positioning, and future growth potential. The CIM will only be released upon your approval and the execution of a Non-Disclosure Agreement by the interested party.

Pre-screen interested parties

Pre-screening involves assessing the legitimacy and financial capability of potential buyers to ensure they can successfully complete the purchase. We meet the potential purchaser (in person or online) to learn more about them, discuss the process and to share information regarding your business (the amount of information we share will be determined and authorized by you).

Meet with the potential purchaser

This is an opportunity for you to share key differentiators of your business and to discuss any questions that the purchaser may have. This meeting will cover high-level topics, not intricate financial detail and key contracts, which will be completed during the due-diligence phase of the transaction.

Offer Review & Negotiation

When a prospective buyer expresses intent to purchase your business, this is typically formalized through an Offer to Purchase or a Letter of Intent (LOI). This document outlines key details such as the proposed purchase price, payment terms, training and transition period, any required employment agreements or non-compete clauses, and other relevant conditions. We meet with you to review the offer, explain its components, and discuss your options. You may choose to accept, reject, or negotiate specific terms. Our team provides expert guidance to help you make the best decision for your needs.

Due Diligence

After accepting an offer, due diligence begins, allowing the buyer to verify key details. This includes a financial review of statements, tax returns, and bank records, an assessment of contracts such as leases and supplier agreements, and a legal review of compliance, licenses, and litigation. Closing

Once due diligence and buyer financing are finalized, the next step is preparing the closing documents and completing the sale.
